I, James Court being a voting member of the RHBAA do here by request amendments or additions to the bylaws and rules as printed in 2003. This request is in compliance with Section 20.1 of the bylaws and rules of 2003.

Motion number one.

Change Section 3.4 to read:

(a) Except as otherwise provided by law, the Articles of Incorporation or these Bylaws, Directors of the Association shall be elected on a State-by-State basis, with Members entitled to vote for and elect only such Directors as the size of membership in their State permits. Members resident in any particular state shall not be entitled to elect a director unless the total membership in the State entitled to vote equals or exceeds 20. Members of any particular state shall be entitled to elect one additional Director when the membership reaches 75 in number, and thereafter shall be entitled to elect an additional director for every 100 members over 75.

(b) Members in States with a membership of less than 20 will be grouped together in Voting Regions and shall be entitled to elect Directors based upon such aggregated membership size as set forth in Section 3.4 (a) above. The grouping into Voting Regions shall be established by the Association's Board of Directors in an effort to ensure that each voting Region shall be represented in proportion to the number of Members of the Association residing therein, and the decision of the Board of Directors as to such groupings shall be at its sole discretion, final and not subject to appeal. The decision of the Board of Directors as to the grouping of Members into Voting Regions shall be made at the same time that the determination of the number of Directors of the Association for the upcoming year is made.

 

Motion number two

Change Section 3.6 to read:

           

(a)    Each Director shall serve until his successor shall have been duly elected and qualified except in the event of the earlier termination of his term of office by reason of death, resignation, removal or otherwise. No person shall be eligible to be a

Director for more than two (2) full consecutive terms; however, a Director may serve more than two (2) nonconsecutive terms.

(b)   Directors shall serve for terms of three (3) years.

 

Motion number three

Add to Section 3.10:

 

(c) The voting membership of the RHBAA will be allowed to attend all Board meetings in their entirety, also all meetings of the committees of directors that are appointed by the Board and the meetings of the Executive committee. Times of all such meetings to be posted on the RHBAA web site ten days prior to the meeting and the agenda for each called meeting.
